User Obligations

• Maintain the confidentiality of your account credentials

For educational institutions using our analytics services, you acknowledge that you are responsible for ensuring appropriate legal basis for processing student data and for complying with all applicable data protection laws, including GDPR and local educational privacy regulations.

Intellectual Property

All content, features, and functionality of our services, including but not limited to software, algorithms, text, graphics, logos, and analytics models, are owned by gammatrixa and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms. This licence does not include any right to:

• Modify, copy, or create derivative works of our software or services
• Reverse engineer, decompile, or disassemble our analytics platforms
• Remove or alter any proprietary notices or labels
• Use our services to develop competing products or services

Any feedback, suggestions, or improvements you provide regarding our services may be used by gammatrixa without compensation or attribution.

Service Availability and Performance

We strive to maintain high availability of our services but cannot guarantee uninterrupted access. Our services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

While we implement robust security measures and backup systems, you acknowledge that no system is completely immune to disruption or data loss. We recommend that you maintain appropriate backup procedures for critical data.

Payment Terms

If you subscribe to paid services, you agree to pay all applicable fees as specified in your service agreement. Payment terms, including billing cycles and fee structures, will be outlined in your specific service contract.

All fees are exclusive of applicable taxes, which you are responsible for paying. We reserve the right to modify our fees with reasonable advance notice.

Limitation of Liability

To the maximum extent permitted by law, gammatrixa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to your use of our services.

Our total liability to you for any claims arising from or related to these Terms or our services shall not exceed the amount paid by you to gammatrixa in the twelve months preceding the claim.

We do not warrant that our services will meet your specific requirements or that they will be error-free or uninterrupted. Our analytics and predictions are based on statistical models and historical data, and we cannot guarantee specific outcomes or improvements in student retention rates.

Indemnification

You agree to indemnify and hold harmless gammatrixa, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

Termination

Either party may terminate the service relationship at any time in accordance with the terms specified in your service agreement. We reserve the right to suspend or terminate your access to our services immediately if you violate these Terms or engage in conduct that we determine to be harmful to our business or other users.

Upon termination, your right to use our services will cease immediately. We will provide reasonable assistance in data export procedures, subject to the terms of your service agreement and applicable data protection laws.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, and governing law.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Cyprus and the European Union, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

Changes to Terms

We may modify these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will provide notice of material changes by posting the updated Terms on our website and, where appropriate, by email to registered users.

Entire Agreement
